Terms of Service

These terms are a binding agreement between you and PROXCELERATE LLP("we", "us") governing your use of Chatzyn, our customer-messaging platform for WhatsApp and Instagram. By creating an account or using the service you accept them. If you use Chatzyn on behalf of a company, you confirm you are authorised to bind that company.

1. The service

Chatzyn lets businesses connect their own WhatsApp Business and Instagram professional accounts — via official Meta APIs only — to manage conversations, teams, automations, and broadcasts. You retain ownership of your accounts with Meta and of your data; we provide the software layer.

2. Accounts

You must provide accurate information and keep access to your sign-in email secure. You are responsible for activity under your workspace, including the actions of members you invite and roles you assign.

You agree that you will not use Chatzyn to:

Violations can lead to suspension or termination, and Meta may independently restrict your WhatsApp or Instagram accounts — that is between you and Meta.

4. Your data and your customers

You are the data fiduciary/controller for the customer conversations and contacts you process through Chatzyn; we process them on your behalf as described in our Privacy Policy. You warrant that you have a lawful basis — including any required consent — for every contact you message and every list you import.

6. Agencies and white-label resale

Approved agencies may resell Chatzynto their clients under the agency's own brand. In that case the agency is our customer of record: the agency is responsible for its clients' compliance with these terms, for the accuracy of its own branding and client communications, and for paying us for all workspaces it provisions. Client workspaces receive the service through the agency, and the agency sets its own pricing to its clients.

7. Intellectual property

We own the Chatzyn software and branding. You receive a limited, non-exclusive, non-transferable right to use the service while your subscription is active. You own your content and data; you grant us only the licence needed to operate the service for you.

8. Availability and changes

We aim for high availability but the service is provided "as is" and "as available". The service depends on third-party platforms (Meta, payment and hosting providers) whose outages or policy changes are outside our control. We may improve or modify features; we will not materially degrade the core service during a paid term without notice.

9. Limitation of liability

To the maximum extent permitted by law, we are not liable for indirect, incidental, special, or consequential damages, or for lost profits, revenue, or data. Our total aggregate liability arising out of or relating to the service is capped at the fees you paid us in the three (3) months preceding the event giving rise to the claim. Nothing in these terms limits liability that cannot be limited under applicable law.

10. Indemnity

You will indemnify us against third-party claims arising from your content, your messaging practices (including messaging without consent), or your breach of these terms or of platform policies.

11. Termination

You may cancel at any time from your workspace settings; service continues to the end of the paid period. We may suspend or terminate for material breach (including acceptable-use violations) or non-payment, with notice where practicable. On termination we delete your data as described in the Privacy Policy; you can request an export before deletion by writing to support@chatzyn.com.

12. Governing law and disputes

These terms are governed by the laws of India, and the courts of India have exclusive jurisdiction, subject to any mandatory consumer protections that apply to you. We will attempt in good faith to resolve any dispute informally first — write to support@chatzyn.com.

13. Changes to these terms

We may update these terms; material changes will be announced on this page (and by email for paid accounts) at least 15 days before they take effect. Continued use after the effective date is acceptance.
